Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nuira service (the "Service") and website at nuira.ai, provided by Nuira ("Nuira", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Nuira is the decision layer for ecommerce. It connects to the tools a brand already runs (such as Shopify, Meta, and Google) to understand the business and produce profit-aware paid-media recommendations, ranked and confidence-scored. The Service is recommend-only: it surfaces suggestions and reasoning but does not execute changes, place orders, or modify your campaigns on your behalf.

2. Eligibility and accounts

You must be at least 18 years old and have authority to bind the organization you represent. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Connected platforms

The Service lets you connect third-party platforms (for example Shopify, Meta, Google, and Klaviyo) via their authorization mechanisms. You authorize Nuira to access data from those platforms solely to provide the Service. Your use of each third-party platform remains subject to that platform's own terms, and you are responsible for maintaining the rights and permissions needed to connect it. Nuira is not responsible for third-party platforms or for changes they make to their APIs or data.

4. Recommendations are informational

Nuira's recommendations are provided for informational purposes only. They are not financial, accounting, legal, or professional business advice, and they do not guarantee any particular result. Advertising and business outcomes depend on many factors outside our control. You are solely responsible for the decisions you make and the actions you take based on the Service.

5. Acceptable use

You agree not to:

• use the Service in violation of any law or third-party rights;
• attempt to access data or accounts that are not yours;
• reverse engineer, disrupt, or overload the Service;
• resell or provide the Service to third parties except as expressly permitted.

6. Intellectual property

Nuira and its licensors own all rights in the Service, including its software, models, and content. You retain all rights in the data you connect ("Your Data"). You grant Nuira a limited, non-exclusive license to process Your Data solely to operate and improve the Service for your organization, as described in our Privacy Policy.

7. Early access and availability

The Service may be offered on an early-access or beta basis and is provided "as is". Features may change, and availability is not guaranteed. Any fees, where applicable, will be as agreed separately with you.

8. Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will achieve any specific outcome.

9. Limitation of liability

To the maximum extent permitted by law, Nuira will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or relating to the Service. Our aggregate liability for any claim relating to the Service will not exceed the greater of the amounts you paid to Nuira in the twelve months preceding the claim, or one hundred euros (€100). Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold Nuira harmless from claims arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

12. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, notify you of material changes. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of Spain, without regard to conflict-of-law rules. Subject to any mandatory consumer protections, the courts located in Spain will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
